Open Factory Ledger Terms of Service

These Terms of Service ("Terms") govern access to Open Factory Ledger (the "Service").
1. Acceptance
By using Open Factory Ledger, viewing dashboard pages, opening weekly posts, or submitting revenue data through an approved ingest path, you agree to these Terms. If you use the Service for an organization, you confirm that you are authorized to bind that organization.
2. Service Description
Open Factory Ledger provides a public revenue transparency dashboard, product pages, experiment logs, ship logs, weekly updates, and self-reported revenue entries. The Service is informational only. It does not provide investment, accounting, tax, audit, assurance, valuation, or fundraising advice.
3. Accounts
Most pages are public and do not require an account. If ingest tokens, admin tools, or paid features are added, you are responsible for keeping those credentials secure and for activity tied to them. Tell us promptly if you believe access has been misused.
4. Prohibited Uses
You may not use the Service to break the law, violate third-party rights, overload our systems, bypass rate limits, reverse engineer private parts of the Service, submit false or unauthorized data, remove transparency notes or notices, or present self-reported metrics as audited, verified, guaranteed, professional advice, or an offer to buy or sell securities.
5. Payments and Refunds
The current public dashboard is free. If paid features are added, they will be charged at the price shown at checkout. Taxes may apply. Unless a separate written refund policy says otherwise, fees are non-refundable after the Service begins processing a requested feature, export, update, or subscription period. We may issue refunds at our discretion.
6. Cancellation
If paid access or accounts are added, you may cancel future paid access through the product flow or by contacting us. Cancellation stops future charges but does not automatically delete prior public entries. Retention policy: the dashboard retains self-reported revenue entries only, plus logs needed to operate the service.
7. Intellectual Property
We retain all rights in Open Factory Ledger, software, templates, design, trademarks, and product copy. You retain rights in data and content you submit. You grant us a limited license to host, process, transform, display, and transmit submitted content as needed to provide the Service and operate security, support, and billing workflows.
8. Warranties Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." We do not promise uninterrupted access, complete accuracy, audited metrics, error-free output, regulatory compliance for your use case, revenue results, or that every entry will be current.
9. Liability Cap
To the maximum extent allowed by law, our total liability for claims related to Open Factory Ledger is limited to the greater of the amount you paid for the Service in the three months before the claim or USD $100. We are not liable for indirect, incidental, special, consequential, exemplary, lost-profit, lost-data, business-interruption, trading-loss, investment-loss, or reputational damages.
10. Indemnity
You agree to defend and indemnify us from claims, damages, losses, costs, and fees arising from your use of Open Factory Ledger, your submitted content, your violation of these Terms, or your violation of law or third-party rights.
11. DMCA and Copyright Complaints
If you believe content in Open Factory Ledger infringes your copyright, send a notice with the copyrighted work, the allegedly infringing material, your contact information, a statement of good-faith belief, a statement that the notice is accurate, and your signature. Send notices through the public product contact channel, currently @publicmargin. We may remove content and terminate repeat infringers when appropriate.
12. Governing Law
These Terms are governed by {GOVERNING_LAW_PLACEHOLDER}, excluding its conflict-of-law rules. Venue, arbitration, and consumer-law wording should be reviewed after this placeholder is resolved.
13. Changes to Terms
We may update these Terms when Open Factory Ledger changes or legal requirements change. We will update the effective date and, for material changes, provide reasonable notice through the product or contact channel. Continued use after changes means you accept the updated Terms.
